Kay Koeppen specializes in commercial and corporate law. In this field, he advises and represents managing directors, shareholders, and companies in their day-to-day operations as well as in contract drafting and in both pre-litigation and litigation disputes, for example in shareholders’ meetings or actions for annulment of resolutions.
A key focus of his practice is advising start-ups and investors, particularly in connection with company formation, the establishment of suitable structures (e.g. vesting provisions, ESOP and VSOP programs), as well as financing matters (e.g. convertible loans, seed financing, Series A financings, shareholders’ agreements).
Kay Koeppen is also a certified specialist lawyer in banking and capital markets law and regularly represents financial institutions in both out-of-court and court disputes. He also advises companies in the context of planned or existing financing arrangements (e.g. security pools, profit participation loans, or syndicated loans).
Another area of focus of his work is data protection law.
Kay Koeppen is a lecturer in business and private law at the private university UE Germany in Iserlohn and a faculty member of the Hagen Law School as part of its specialist lawyer training program in commercial and corporate law. He is also a co-author of the Beck Online Commentary on the German Limited Liability Companies Act (GmbH-Gesetz).
