Kay U. Koeppen specialises in commercial and corporate law. He advises and represents managing directors, shareholders, and businesses in their daily operations, contract negotiations, and disputes — both pre-litigation and in court proceedings — including shareholders’ meetings and actions challenging resolutions.

A significant focus of his practice involves advising start-ups and investors, particularly on matters relating to incorporation, establishing appropriate structures (e.g. vesting arrangements, ESOP and VSOP programmes), and financing issues (e.g. convertible loans, seed funding, Series A financing rounds, shareholder agreements).

Kay U. Koeppen is also a certified specialist solicitor in banking and capital markets law, regularly representing financial institutions in both judicial and extrajudicial disputes. Furthermore, he advises companies on planned or existing financing arrangements (e.g. security pools, profit-participation loans, or syndicated loans).

Another key area of his practice is data protection law.

Kay U. Koeppen is a lecturer in commercial law at the private university UE Germany in Iserlohn, as well as an instructor at Hagen Law School for their specialist solicitor training course in commercial and corporate law.
